Consultant, Company Secretarial

A prestigious financial group is looking to recruit a Consultant in their Company Secretarial team to deliver professional, effective, high quality corporate secretarial statutory services on behalf of a number of intermediate levels listed and unlisted companies, limited partnerships and unit trusts. Principal Responsibilities:

  • Manage the statutory requirements of a portfolio of Guernsey and non-Guernsey, listed and unlisted, entities with minimum supervision
  • Undertake the listing work for any CISE listed entity within the portfolio
  • Organise and prepare agendas and take minutes of general meetings
  • Maintain statutory books including registers of members, directors and secretaries
  • Manage statutory requirements (i.e. statutory returns, annual & ad hoc filings, etc)
  • Review of prime documents (e.g. M&A, Administration Agreements, Prospectus, Scheme Particulars, and Service Level Documents etc.)
  • All voluntary winding up/strikes off/dissolution
  • General corporate secretarial tasks
  • Liaise with external regulators and advisers, such as lawyers and auditors

The ideal candidate will have knowledge of the offshore fund industry particularly with regard to the statutory and regulatory requirements for Guernsey-based collective investment schemes and associated vehicles. They should also have previous experience in a similar role, ideally 2 - 3 years’ in a corporate secretarial environment and/or Institute of Chartered Secretaries & Administrators Diploma and have a good knowledge of the London Stock Exchange and CISE listing requirements and continuing obligations.
